Chapter 1 General Provisions

Item 1 The Character of the Center
The Research Center of Corporate Governance of Nankai University (CCGNU) is the only national corporate governance research institution approved by the Ministry of Education. The Research Center of Corporate Governance of Nankai University is an academic organization. Its research field concerns Corporate Governance. The center is responsible for organizing and coordinating research activities of the related experts and scholars at home and abroad. Under the guidance of the Ministry of Education, National Economic and Trade Committee, China Securities Regulatory Commission and other organization at all levels. The center is to play a supporting role in the economic reform by launching research work.

Item 2 Guiding Ideology
The center is to adhere to the Marxism and the Four Cardinal Principle, hold high the great banner of Deng Xiaoping Theory, and act on the important thought of the Three Represents. Proceeding from the practice and adhering to the principle that practice and the theory are combined and the principle that the center should serve the reform and opening up of our country and the development of national economy, the center is to work hard to provide the Communist Party of China and the government at different levels with high-quality policy consultation.

Item 3 Task
According to the documents of National Education Committee ( Education Committee [1994] No. 540), the center's task is to do research on administration problems of companies in China and Asian and Pacific Area; to provide policy consultation for governments and enterprises in China; to launch related academic exchanges and cooperation at home and abroad; to conduct training activities; and to play a leading, organized, and coordinated role in the research work on Corporate Governance among Chinese colleges and universities.

Item 4 Aim
The center is to be built up into a theory research center on Corporate Governance at home and abroad; a data base of resources on Corporate Governance; a center that provides training courses on Corporate Governance; and a center that offers high-quality consultation services on policies on economic reform..

Chapter 2 Organizations

Item 5 Establishment of the Organization
The Research Center of Corporate Governance of Nankai University is an academic research organization. There is an honorary director, a director and a vice-director in the center. And its subsidiary organizations are an administration office, an academic department, an international exchange department. The role of these departments is to bring the initiative of the scientific research and management personnel into full play.

Item 6 Honorary director, director and vice-director
The Research Center of Corporate Governance of Nankai University has one honorary director, one director and one or two vice-director.

Article 1 Honorary Director
The honorary director is assumed by a famous domestic expert on economics and administration, or a related high ranking general officer. His responsibility is to give a general guidance on the work of the center.

Article 2 Director
The director is appointed by the president of Nankai University. The appointment contract should clarify the responsibility, rights and duties of the director. The director is responsible for the president and the director should be a famous scholar in China and has the title of professor. The director is to exercise a comparative independent authority over management of the center.
The rights and duties of the director are as follows:
1. responsible for the appointment of the vice-director, full-time or part-time research personnel and administrative management personnel.
2. responsible for the examination of the research program and topics, the planning for the organization and implementation of scientific research.
3. responsible for liaison between the center and the Ministry of Education and China Securities Regulatory Commission.
4. calling a work conference attended by vice-director and the directors departments.
5. reporting to the leaders of Ministry of Education and Nankai University on the work of the center.
6. responsible for the exchanges among the related research centers.

Article 3 Vice-director
Vice-director is to be appointed by the director of the center, and reported to the Organization Department of Nankai University for the record. The vice-director should cooperate with the director in the work of the center.

Item 7 The Appointment System of Full-time and Part-time Scientific Research Personnel and Part-time Professors
For the smooth operation of the center and the feasibility of the research report and keeping with the actual situation of our country, the center is to carry out the appointment system of full-time and part-time scientific research personnel and part-time professors.
Article 1 According to needs of research program, the director is to appoint full-time and part-time scientific research personnel and stipulate the responsibilities, rights and duties in the form of contract.
